WEBSITE & MOBILE APPLICATION TERMS OF USE

1. Introduction. This website ("Site") and the mobile application known as onseeker™ are owned by United Internet Resources, Ltd. d/b/a onseeker™ ("onseeker™") and licensed to you for use on the following terms. Your use of this Site signifies your agreement to these terms and conditions (the "Agreement").

2. Refusal & Termination of Service. onseeker™ reserves the right to terminate or refuse service to anyone, at any time, for any reason or no reason at all, without prior notice, including, without limitation, for violating any provision of this Agreement.

3. License. onseeker™ grants to you a limited, non-transferable, non-sublicensable, and non-exclusive license to use the onseeker™ music application (the "Application") and the Site to use the Site and Application in real time in a manner consistent with this Agreement.

4. Intellectual Property Rights. onseeker™ is the exclusive owner of all rights in and to the Site and Application and their content (except content submitted or owned by artists or venues), including, without limitation, all copyrights, trademark rights and goodwill, trade secrets, patent rights and patent applications. You agree not to change or delete any proprietary notices embodied in or on the Site or Application. You agree not to reproduce, distribute, publicly perform, publicly display, prepare derivate works of, transmit, modify, reverse engineer, decompile the Site or Application or their components. onseeker™ is the exclusive owner of the ONSEEKER™ word and design marks and the sound mark that is performed when the Application is launched.

5. Copyright Infringement Claim Procedure. Pursuant to 17 U.S.C. §512, claims of copyright infringement must be submitted to the following designated agent for United Internet Resources, Ltd d/b/a onseeker™: Henry ("Hank") J. Fasthoff, IV, Stumpf Farrimond PC, 1400 Post Oak Blvd., Suite 400, Houston, Texas 77056; 713.871.0919; hfasthoff@sftxlaw.com.

To be effective, the notification must be a written communication that includes the following:

i. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;

ii. A reasonably detailed description of the alleged infringing material, or, if multiple copyrighted works are alleged to be infringing, a representative list of such works on this website;

iii. A reasonably detailed description of where the alleged infringing material is located on this website;

iv. Information reasonably sufficient to permit us to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted;

v. A statement that the complaining party has a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;

vi. A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

6. Representations & Warranties. You represent and warrant that you are at least 18 years of age and that you possess the legal right and ability to enter into this Agreement and to use the Site and Application. If you are between the ages of 13 and 17, inclusive, you must obtain consent from your parent or legal guardian and he/she must agree to be bound by the Agreement individually and as your legal representative. Users under the age of 13 are not permitted to use the Site or Application.

7. Governing Law, Jurisdiction, & Venue. This Agreement shall be deemed to have been entered into in Harris County, Texas and shall be governed by laws of the State of Texas and the United States of America without regard for conflicts of laws principles. You irrevocably agree that the state and federal courts situated in Harris County, Texas shall have sole and exclusive jurisdiction and venue over any and all disputes arising under or related to this Agreement and you hereby expressly consent to jurisdiction in Harris County, Texas and waive jurisdiction and venue in any other forum.

8. INDEMNIFICATION. YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS ONSEEKER™, ITS PARENT, SUBSIDIARIES, AFFILIATES, SUCCESSORS, ASSIGNS; PAST, PRESENT AND FUTURE PARTNERS, MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND REPRESENTATIVES, FROM AND AGAINST ALL LIABILITIES, DAMAGES, CLAIMS, CAUSES OF ACTION, COSTS, ATTORNEY’S FEES, AND ALL OTHER COSTS AND EXPENSES ARISING OUT OF OR RELATING TO YOUR BREACH OF THIS AGREEMENT, ANY TORTIOUS CONDUCT ALLEGED AGAINST YOU, AND ANY OTHER ACTION OR OMISSION RELATING TO YOUR USE OF THE SITE AND/OR APPLICATION. ONSEEKER™ MAY, AT ITS SOLE DISCRETION, CHOOSE TO PARTICIPATE IN THE DEFENSE OR ANY MATTER OR CLAIM OR NEGOTIATED SETTLEMENT. NO SETTLEMENT WHICH MAY HAVE THE POTENTIAL TO AFFECT ONSEEKER’™ RIGHTS IN ANY WAY SHALL BE ENTERED INTO WITHOUT ONSEEKER’™ PRIOR WRITTEN APPROVAL.

9. LIMITATION OF LIABILITY. THIS APPLICTION IS PROVIDED ON AN "AS IS" BASIS. YOU AGREE THAT ONSEEKER™ SHALL NOT BE LIABLE FOR ANY DAMAGES OR INDEMNITY, REGARDLESS OF THE NATURE OR CAUSE OF DAMAGES OR INDEMNITY, THAT ARISE FROM OR RELATE IN ANY WAY TO THE SITE AND/OR APPLICATION, INCLUDING, WITHOUT LIMITATION, ANY CONTENT, AND/OR ANY EXTERNALLY-LINKED THIRD PARTY SITE. WITHOUT LIMITATION, ONSEEKER™ SHALL NOT BE LIABLE FOR ACTUAL, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, EXEMPLARY, SPECIAL, AND/OR CONSEQUENTIAL DAMAGES, OR FOR ANY OTHER CAUSE, LOSS, ACTION, CLAIM, OR DAMAGE, INCLUDING LOSS OF TIME, OR INJURY TO PERSON OR PROPERTY.

10. DISCLAIMER OF WARRANTIES. THIS APPLICTION IS PROVIDED ON AN "AS IS" BASIS. ONSEEKER™ MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY TYPE. ONSEEKER™ EXPRESSLY DISCLAIMS ALL WARRANTIES OF ALL TYPES, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

ACCEPTABLE USE POLICY

11. Lawful Purpose. The uploading, transmission, storage, routing, or presentation of any information, data or material in violation of any applicable local, state, or federal law or regulation, or in violation of onseeker’s™ Acceptable Use Policy ("AUP") is strictly prohibited. Examples of information, data, or material that violate this AUP include unauthorized use of copyrighted works, trademarks, trade secrets, patents, or the dissemination of harmful or fraudulent content. Any conduct that constitutes harassment, impersonation, fraud, stalking, abuse, or a violation of export control laws, regulations or rules in connection with use of this Website is strictly prohibited. Using the Site or Application to perform, or solicit the performance of, any illegal activity is also strictly prohibited. In addition to the forgoing, the following uses are strictly prohibited:

• Posting or transmitting any business opportunities, advertising/promotional materials, or any other form of commercial solicitation;

• Spamming any email address that are uploaded to Site or Application;

• Reproducing, distributing, publicly performing, publicly displaying, preparing derivate works of, transmitting, modifying, reverse engineering, or decompiling the Site or Application or their components;

• Including any hidden text in your postings; and

• Deleting or revising any material posted by any other person.


Idea Submissions. onseeker™ values and encourages your feedback. Pursuant to our company policy, however, we do not accept or consider creative ideas, suggestions, or materials. If you choose to send any creative submissions to us then you hereby irrevocably transfer, free of any present of future compensation, any and all rights, throughout the universe, in and to each submission (including the individual elements of each submission), including, without limitation, all copyright rights, trademark rights (and goodwill appurtenant thereto), trade secret rights, industrial rights, and moral rights, whether now existing or hereafter arising. To the extent moral rights may not be assigned or transferred, you hereby waive enforcement of any and all moral rights. We shall be entitled to complete unrestricted use of the submissions and all information contained therein for any purpose, whether commercial or otherwise, without compensation to or recognition of the author or provider of the submissions.
 
 
 
 
Subscriber Agreement

ARTIST/VENUE SUBSCRIBER AGREEMENT


This agreement (the "Agreement") is a legal contract between you and United Internet Resources, Ltd. d/b/a OnSeeker™ ("OnSeeker™" or "we" or "us") that governs your use of the OnSeeker™ website and online music services, including all mobile applications (collectively, the "Service"). The Service is made available to musical recording artists, songwriters, producers and the like ("Artists") and performance venues, concert halls, and the like ("Venues"). Artists and Venues are jointly and severally referred to herein as "Subscribers."

OnSeeker™ may from time to time modify these terms and post a copy of the amended Agreement at http://www.onseeker.com. If you do not agree to (or cannot comply with) the Agreement as amended, your only remedy is to cancel your Subscription. All transactions are final and refunds will not be provided. You will be deemed to have accepted the amended Agreement if you continue to use the Service after any amendments are posted.

1. Legal Age. You must be at least 18 years of age to agree to and enter into this Agreement on your own behalf and to register for use of the Service. If you are under 18 but at least 13 years of age, you must present this Agreement to your parent or legal guardian, and he or she must check the box below to enter into this Agreement on your behalf. Children under the age of 13 are prohibited from registering for this Service, and parents or legal guardians may not register on their behalf. By checking the box indicating your acceptance to this Agreement, you represent that (i) you have read, understood and agree to be bound by this Agreement and (ii) you are at least 18 years old, either entering into this Agreement for yourself or entering on behalf of your child or a child in your legal care. If you are a parent or guardian entering this Agreement for the benefit of your child, please be aware that you are fully responsible for his or her use of the Service, including all financial charges and legal liability that he or she may incur.

2. Description of Service. The Service allows you to upload to our servers the songs, lyrics, photographs, videos, biographical materials, and other data which is owned by you. You represent and warrant to us that you are fully authorized to reproduce, distribute, publicly perform, publicly display, prepare derivative works, advertise, promote and offer for sale any and all materials, information and data which you furnish to us. For Artists, the Service allows third parties (such as existing and prospective fans, record executives, managers, etc.) to obtain information about you, your music, venues at which you will be playing and, if you elect, to follow your daily activities via an electronic feed. For Venues, the Service allows third parties (such as existing and prospective customers and reviewers) to learn information about your establishment and the artists who may be performing there. End-users of the Service ("Consumers"), e.g., people who download and use the Service, will able to rate and provided feedback to Artists and Venues. Each Subscriber will upload his/her/its information and have access to other information via a dashboard that is made available at the OnSeeker™ website.

Subscribers may not manipulate the Service, or encourage others to manipulate the service, in order to modify or alter ratings, feedback, or other data.

3. Registration. Each Subscriber must register and provide information to us that permits us to open an account in the Subscriber’s name, including valid name, address, email address, a username, a password, and valid billing and payment information ("Registration Data"). You may also be required to provide additional information. You further agree to provide accurate Registration Data and to update your Registration Data as necessary to keep it accurate.

You will not allow others to use your member name, password and/or account and you are solely responsible for maintaining the confidentiality and security of your account. Notwithstanding the foregoing, you may authorize a third party to whom you are contractually-obligated (such as a management company) to access your account, provided that such contract grants the third party rights that would permit the third party to have access to the information in your account. You agree to notify us immediately of any unauthorized use of your password and/or account. OnSeeker™ shall not be responsible for any losses arising out of the unauthorized use of your member name, password and/or account and you agree to indemnify and hold harmless OnSeeker™, its partners, parents, subsidiaries, agents, affiliates and/or licensors, as applicable, for any improper, unauthorized or illegal uses of the same.

5. Subscriber Plans. OnSeeker™ offers two subscription plans at this time, one for Artists ("Artist Subscriber Plan") and one for Venues ("Venue Subscriber Plan") (jointly and severally "Subscriptions."). Payment options for the Subscriptions are as follows:

Pre-registration is FREE until the application goes live in the apple store, then $9.95 per month automatically billed to your credit card. You may cancel at any time upon 30 days written notice to us at cancellation@onseeker.com.

Pre-regstration is FREE until the application goes live in the apple store, then $19.95 per month automatically billed to your credit card. You may cancel at any time upon 30 days written notice to us at cancellation@onseeker.com.

Note: Because the onseeker™ music app has not yet gone live, your credit card will not be charged at this time. Instead, we will temporarily authorize it for $1. When the app officially goes live, your subscription will begin, and you will be charged the full amount. Our projected launch date is July 27, 2009.


4. All Transactions Final & Nonrefundable. All payments for all Subscriptions under this Agreement are final and nonrefundable.

5. Agreement to Pay; CONSENT TO AUTOMATIC CREDIT CARD BILLING. By registering for the Service, you authorize OnSeeker™ to charge the applicable recurring subscription fees to your designated billing payment method. YOU AGREE THAT WE MAY BILL THE CREDIT CARD WE HAVE ON FILE ON A MONTHLY RECURRING BASIS. If we make any changes to these terms and conditions that you do not wish to accept, your only remedy is to terminate your subscription membership. If your billing payment method changes during the term of your subscription plan (such as the expiration of the credit card you provided to us), you must immediately update the billing payment method associated with your OnSeeker™ account.

6. Payment Failure Will Result in Account Closure. If OnSeeker™ is unable to charge your billing payment method for any installment, OnSeeker™ will notify you by way of email at the email address associated with your account and provide you five (5) days to furnish a new valid payment method acceptable to us. If you fail to provide a valid payment method acceptable to us within such time period, your account will be closed and all data contained therein will be deleted. The remedies provided in this section, e.g., account closure, are not our exclusive remedies with respect to your nonpayment under this Agreement.

7. Billing Authorizations for First Free Month. You agree that OnSeeker™ may obtain a pre-authorization for the fee amount that you will be charged after the expiration of your first free month. It is possible that some financial institutions may perceive these requested amounts as actual pending charges. These are not actual charges however, and OnSeeker™ will not be responsible for any results, such as an overdraft fee, that may occur to your account because of them.

8. Our Right to Change Subscription Fees. All Subscription fees are subject to change at OnSeeker’s™ sole discretion, but we will provide you with written notice at the email address associated with your account prior to implementing any such changes. If you do not agree to a future Subscription fee change you may cancel your Subscription by sending notice to us at cancellation@onseeker.com.

9. Your Representations & Warranties. You expressly represent and warrant to us that:

* You possess all of the rights required by law to legally reproduce, distribute, publicly perform, publicly display, prepare derivative works of, transmit (digitally and otherwise), and otherwise make available all sound recordings, musical works, audiovisual works, choreographic works, literary works, pictorial works, graphic works, lyrics, names, images, likeness and other personal attributes, trademarks, trade dress, trade names, inventions, information, data and other materials (jointly and severally the "Subscriber Materials");



* You are at least eighteen (18) years of age on the date you entered into this Agreement; and



* You have read, understand and accept the terms of this Agreement.



10. Grant of Nonexclusive License. You hereby grant to us a perpetual, nonexclusive, royalty free and compensation free sublicensable, fully transferable, license to reproduce, distribute, publicly perform, publicly display, prepare derivative works of, and transmit (digitally and otherwise) the Subscriber Materials throughout the universe (the "Territory"). Further, by posting messages, inputting data, or engaging in any other form of communication through the Service, you thereby grant to OnSeeker™ a perpetual, nonexclusive, royalty free and compensation free, sublicensable, fully transferable, license to reproduce, distribute, publicly perform, publicly display, prepare derivative works of, and transmit (digitally and otherwise) any such content to provide and/or promote the Service and/or to respond to any legal requirement, claim or threat.

11. INDEMNIFICATION. YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS ONSEEKER.COM™, ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, MEMBERS, REPRESENTATIVES, SUCCESSORS, AND ASSIGNS FROM AND AGAINST ALL LIABILITIES, DAMAGES, CLAIMS, CAUSES OF ACTION, COSTS, ATTORNEY'S FEES, AND ALL OTHER COSTS AND EXPENSES, IN CONNECTION WITH, ARISING FROM, OR RELATING TO, YOUR BREACH OR ALLEGED BREACH OF YOUR REPRESENTATIONS AND WARRANTIES IN THIS AGREEMENT, ANY TORTIOUS CONDUCT PERFORMED BY OR ALLEGED AGAINST YOU, AND ANY OTHER ACTION OR OMISSION RELATING TO YOUR USE OF THIS SITE. ONSEEKER.COM™ MAY, AT ITS SOLE DISCRETION, CHOOSE TO PARTICIPATE IN THE DEFENSE OR ANY MATTER OR CLAIM OR NEGOTIATED SETTLEMENT, AT YOUR SOLE COST. NO SETTLEMENT WHICH MAY HAVE THE POTENTIAL TO ADVERSELY AFFECT ONSEEKER.COM'S™ RIGHTS IN ANY WAY SHALL BE ENTERED INTO WITHOUT ONSEEKER.COM'S™ PRIOR WRITTEN APPROVAL.

12. LIMITATION OF LIABILITY. YOU AGREE THAT WE WILL NOT BE LIABLE FOR INDIRECT, EXEMPLARY, SPECIAL, OR CONSEQUENTIAL DAMAGES (OR ANY LOSS OF REVENUE, PROFITS, OR DATA) ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE PROGRAM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER OUR AGGREGATE LIABILITY ARISING WITH RESPECT TO THIS AGREEMENT AND THE PROGRAM WILL NOT EXCEED THE TOTAL COMMISSIONS PAID OR PAYABLE TO YOU UNDER THIS AGREEMENT.


13. DISCLAIMER OF ALL WARRANTIES. THE SERVICE, MATERIALS, INFORMATION, AND OTHER CONTENT IS PROVIDED ON AN "AS IS" BASIS. We make no express or implied warranties or representations with respect, AND HEREBY AFFIRMATIVELY DISCLAIM ALL WARRANTIES, RELATING TO, THE PROGRAM (INCLUDING WITHOUT LIMITATION, WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, NONINFRINGEMENT, OR ANY IMPLIED WARRANTIES ARISING OUT OF A COURSE OF PERFORMANCE, DEALING, OR TRADE USAGE). IN ADDITION, WE MAKE NO REPRESENTATION THAT THE OPERATION OF THE ONSEEKER SITE WILL BE UNINTERRUPTED OR ERROR-FREE, AND WILL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS.

14. Restrictions & Prohibitions. You may not use the Service to transmit, display, perform or otherwise make available any messages, content or materials:

(i) that are illegal, obscene, threatening, of a "spamming" nature, defamatory, or invasive of privacy;

(ii) that constitute political campaigning or commercial solicitation or that contain software viruses or other computer code designed to interfere with the functionality of any computer systems; or

(iii) that infringe third-party rights or harm minors in any way.

Additionally, you may not:

(i) interfere with or disrupt the Service or any networks connected to or by the Service;

(ii) use "deep-links," "page-scrapers," "robots," "spiders," or other automated devices, programs, algorithms, processes, or methodologies, or any similar or equivalent manual processes, to access, acquire, copy or monitor any portion of the OnSeeker™ website or the Service, or in any way reproduce or circumvent the navigational structure or presentation of the Service to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Service.

(iii) use a false email address or otherwise mislead us, Consumers or other third parties as to your identity or to the origin of a message or content.

Without limiting our other remedies, the violation of any provision of this section of the Agreement may result in immediate termination of this Agreement, closure of your account, and deletion of your data.

15. Privacy. For information regarding OnSeeker's™ collection and use of information in connection with the Service, please review our privacy policy available at www.onseeker.com/privacy. Our privacy policy is incorporated herein by reference and is expressly made part of this Agreement.

16. Copyright & Other Intellectual Property Violations. If OnSeeker™ receives a notice alleging that any of the Subscriber Materials infringes the copyrights of a third party, OnSeeker™ will comply with the terms of its copyright policy, available at www.onseeker.com/copyright, which requires us to comply with the terms of the Digital Millennium Copyright Act. Our privacy policy is incorporated herein by reference and is expressly made part of this Agreement. If OnSeeker™ receives a notice alleging that any of the Subscriber Materials infringes the copyrights or any other intellectual property rights of a third party, or reasonably suspects the same, OnSeeker™ may suspend or terminate your account without notice or liability to you.

17. Promotions & Advertising. OnSeeker™ and/or its business partners may present advertisements or promotional materials on or through the Service and on any OnSeeker™ Websites. Your participation in any promotional event is subject to the terms and conditions associated with that event. Your dealings with, or participation in promotions of, any third-party advertisers on or through the Service or any OnSeeker™ website are solely between you and such third-party.

18. Termination. OnSeeker™ may in its sole discretion terminate this Agreement or suspend your account at any time without notice to you in the event that you breach (or OnSeeker™ reasonably believes that you have breached) any provision of this Agreement. If OnSeeker™ terminates this Agreement, or suspends your account for any of the reasons set forth in this paragraph, it shall have no liability or responsibility to you. You understand and agree that your cancellation of your account and Service membership is your sole right and remedy with respect to any dispute with OnSeeker™.

19. Entire Agreement. This Agreement sets forth the entire understanding and agreement of the Parties and supersedes any and all oral or written agreements, representations and understandings between with respect to the subject matter hereof, all of which are merged herein. You are not relying upon any warranties, representations, assurances or inducements not expressly set forth herein.

20. Force Majeure. We shall not be deemed in default of this Agreement to the extent that performance of any obligations or attempts to cure any breach are delayed, restricted or prevented by reasons of any act of God, fire, natural disaster, terrorism, act of government, act of war (whether declared or undeclared) strikes or labor disputes, power failure, or any other act or condition beyond the reasonable control of the parties.

21. Governing Law & Jurisdiction. This Agreement shall be deemed to have been entered into in Texas and shall be governed by the laws of the State of Texas, without regard for conflicts of laws principles. The parties irrevocably agree that the courts situated in Harris County, Texas shall have exclusive jurisdiction and venue over any and all claims arising under or relating to this Agreement, and hereby consent to the jurisdiction of such courts.

22. No Third Party Beneficiaries. There are no third party beneficiaries to this Agreement.
 
 
 
 
Privacy Policy



This policy identifies the personal information we collect about you, explains why we collect it, how we use it and when we share it with third parties. 1. Information We Collect. We may collect information (including your name, postal addresses, billing address, telephone number, email address and, when necessary, credit card information) when you: submit your profile information; inquire about our services; create an account with us; subscribe to email; enter a contest or sweepstakes; are referred to us through a marketing promotion; participate in a marketing survey, promotion, or event. We maintain the data that you provide us, along with a record of your purchases, in a secure database. We gather information about how you use the Site and Application.

2. Using Information We Collect. We collect information that allows us to: provide the services you request; contact you about the status of any requests; send you promotional information; identify your preferences; customize our communications to you; provide information concerning products you have purchased; improve our customer service;

3. Information We Share with Others and Your Privacy Rights. We may share information about you with an affiliate.
We also contract with service providers to maintain and manage our customer information, including credit card processing, shipping, name and address verification, email distribution, market research and promotions management. We provide these companies with only the information they need to perform their services and work with them to ensure that your privacy is respected and protected. We do not authorize any of these service providers to make any other use of your information. In addition, when we partner with another company to offer or provide products, services, contests or promotions, we may compare our customer list with theirs to identify our common customers. onseeker™, its affiliates and its marketing partners may use that information to fulfill our respective obligations to you and for future promotional activities. onseeker™ may disclose information about you as required by law in response to legal process and law enforcement requests, and as necessary to protect the property, interests and rights of onseeker™ its affiliates, and others.

4. Your Choices About Receiving Promotional Communications.
